Terms & Conditions

1. Agreement
These Terms & Conditions ("Terms") form a binding agreement between you ("you", "user") and [YOUR COMPANY NAME] Ltd, a company registered in England & Wales (company no. [COMPANY NUMBER]) with its registered office at [REGISTERED ADDRESS], trading as "SigningVault" ("we", "us", "our"). By creating an account or using the service you accept these Terms. If you do not accept them, do not use the service.
2. The service
SigningVault provides AI-assisted drafting and electronic signature tooling. We provide software; we do not provide legal advice. AI-generated drafts are starting points, not finished legal advice, and should be reviewed before use.
3. Your account
- You are responsible for keeping your credentials secure.
- You must be 18+ and able to enter into binding contracts.
- You must provide accurate account information.
4. Acceptable use
You must not use SigningVault to:
- Send fraudulent, deceptive or misleading documents.
- Impersonate any person or entity.
- Send unsolicited bulk communications.
- Upload malware, illegal content or content infringing third-party rights.
- Attempt to bypass security or rate limits.
5. Your content
You retain all ownership of the documents and data you upload. You grant us a limited licence to host, process, transmit and display that content solely to provide the service. We do not use your documents to train AI models.
6. Plans, billing & cancellation
- Paid plans renew automatically each billing period until cancelled.
- You may cancel at any time from Settings; access continues until period end.
- Fees are non-refundable except where required by law.
- We may change pricing with at least 30 days' notice.
7. Electronic signatures
You and your signers consent to using electronic signatures and to electronic records being the sole record of the agreement, in line with UK eIDAS, EU eIDAS, the US ESIGN Act and UETA. Each signer is responsible for confirming their identity, authority and intent before signing.
8. No legal advice
SigningVault is not a law firm. Our drafts, templates, suggestions and AI outputs do not constitute legal advice and are provided for informational purposes only. For high-stakes or jurisdiction-specific matters, consult a qualified attorney.
9. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory or otherwise, including without limitation any implied warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the service will be uninterrupted, secure or error-free. You use the service at your own risk.
10. Limitation of liability
To the maximum extent permitted by law, SigningVault, its affiliates, officers, employees and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or for any damages arising from or related to:
- The legal validity, enforceability, accuracy or completeness of any document drafted, edited, sent, signed or stored using the service;
- The conduct of any signer, recipient or third party;
- Disputes between you and any other party to a document;
- Any reliance placed on AI-generated content;
- Service interruptions, data loss, or unauthorised access not caused by our gross negligence;
- Any tax, regulatory, compliance or legal consequences of the documents you create or sign.
Our total aggregate liability arising out of or related to these Terms or the service shall not exceed the greater of (a) the fees paid by you to SigningVault in the 12 months preceding the event giving rise to the claim, or (b) GBP £50.
Nothing in these Terms excludes or limits any liability that cannot be lawfully excluded or limited (such as for death or personal injury caused by negligence, or fraud).
11. Indemnity
You agree to indemnify and hold harmless SigningVault from and against any claims, losses, damages, liabilities and reasonable legal costs arising from (a) your use of the service, (b) your breach of these Terms, (c) the documents you create, send or sign, or (d) your violation of any law or third-party right.
12. Suspension & termination
We may suspend or terminate your access for breach of these Terms, non-payment, or suspected misuse. You may close your account at any time. Signed documents remain accessible to all parties of the agreement subject to our retention schedule.
13. Governing law & disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that we may seek injunctive relief in any competent jurisdiction.
14. Changes
We may amend these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
